Constitution of ISMEBC

ARTICLE I--NAME

The name of the Society is: `International Society for Molecular Electronics and BioComputing'--abbreviated as ISMEBC. Its official language is English.

ARTICLE II--PURPOSE

ISMEBC is a non-profit international society which fosters the interdisciplinary study of molecular electronics, ionics and photonics and information processing in natural and artificial molecular and biomolecular systems. The Society promotes both fundamental and applied research.

ARTICLE III--ACTIVITY

The scope of the Society includes initiation and facilitation of international cooperation through: (i) publications, (ii) organization and coordination of meetings and workshops, (iii) organization of coordinated research and international joint research programs, (iv) fellowship programs and awards--and (v) dissemination of ideas and results.

ARTICLE IV--CHARTER

  1. The Society will be chartered legally as a non-profit organization.

  2. Chapters of the Society may be established by a majority vote of the Governing Board.

ARTICLE V--MEMBERSHIP

ISMEBC has founding, ordinary and supporting members.

  1. Founding Members are individuals who were responsible for establishing the Society.

  2. Voting Members are individuals who subscribe to the purpose of the Society and who are in good standing according to the Bylaws.

  3. Other categories of membership such as Associate and Honorary membership may be established in the Bylaws.

ARTICLE VI--ADMINISTRATION

  1. The Society will be governed by the Governing Board (GB).

  3. The President, President-Elect and the Immediate Past-President each will serve a one year term.

  4. An Honorary President may be appointed by the GB for a three year term.

  5. The GB will consist of twelve voting members and the President, President-Elect and Immediate Past-President.

ARTICLE VII--ELECTION

  1. The members of the GB and the President are elected by a mail ballot of the voting members. A majority vote is required for the election of the President; if a majority vote is not achieved, a run-off election will be held between the two candidates having the highest number of votes.

  2. Every year the President-Elect and one third of the GB is elected.

  3. The President may appoint the Secretary and/or the Treasurer of the Society, subject to approval of the GB.

  4. The President shall appoint a Nominating Committee subject to approval of the GB.

  5. Nomination for the Presidency and GB may be made by petition of ten percent of the voting membership, according to procedures specified in the Bylaws.

ARTICLE VIII--MEETING

The Society shall organize at regular intervals International Symposia on Molecular Electronics and BioComputing (MEBC). The GB will be the International Organizing Committee of the MEBC Symposia.

ARTICLE IX--NEWSLETTER

A Newsletter of MEBC will be distributed at regular intervals.

ARTICLE X--COMMITTEE STRUCTURE

The size of the committees will by determined by the GB. The members will be selected by the President, subject to approval of the GB.

ARTICLE XI--CRITERIA FOR MEMBERSHIP

The GB will establish the criteria for different categories of membership, the rules of paying the membership fee, and will determine the responsibilities of members. It is the duty of GB to take into account that different criteria may apply for different regions of world.

ARTICLE XII--SERVICES

The officers and members of the GB are charged with fostering the broad development of molecular electronics and biocomputing through sponsoring of meetings, dissemination of information, facilitation of international cooperation, encouragement of research support, and maintenance of interdisciplinary and multidisciplinary participation necessary in the field.

ARTICLE XIII--FINANCE

The Society will work on the basis of a yearly financial budget, proposed by the President and approved by the GB.

ARTICLE XIV--AMENDMENT

Amendments to the Constitution may be recommended by the GB and must be approved by the two thirds of the voting membership.

ARTICLE XV

The present Constitution is accepted on the founding gathering held on 27 May, 1991, in Balatonszeplak, HUNGARY.
